Overview Responsible for providing legal support to the hotel development and operations teams on franchise, management, and hotel development matters, including preparation of FTC and international disclosure documents, franchise agreements, franchise compliance monitoring, and default notices, as we reviewing property-level contracts (e.g., event contracts, group business, sales, location agreements, and all other vendor contracts, as assigned), advising General Managers of our managed hotels, developing standard operating procedures and advising management on changes in laws and regulations that affect the managed business.  The Director will also draft, review, and negotiate management agreements and partner with the development team to complete hotel management transactions.
Responsibilities BUSINESS RESULTS:

  • Serve as Counsel for the Hotel Division.
  • Provide legal advice during the negotiation of hotel deals (i.e. draft and analyze hotel agreements, including management agreements, license agreements, reservation agreements, letters of intent, confidentiality agreements, and various ancillary agreements.
  • Review and approve the use of outside counsel along with management of outside counsel legal fees.
  • Supervise Hotel Division related litigation and disputes.

LEADERSHIP & EXECUTION:

  • Manage and lead domestic and international hotel development deals.
  • Provide legal advice and support relating to hotel operating matters.
  • Prepare legal documents for the various hotel properties (i.e. related amendments, notices, lender consents, and assignments).
  • Prepare and update all FTC Disclosure documentation for domestic hotel franchises, international Disclosure Documents, and international hotel franchises.

GUEST ENGAGEMENT:

  • Collaborate with the Development and Operations teams to assure the right level of hotel standards are set forth in agreements with reference to the details of standards expected of partners and branded hotels.

EMPLOYEE ENGAGEMENT:

  • Assure the right level of employee oversight is included in all of the hotel agreements with regard to approval of key positions.

LEARNING & APPLYING EXPERTISE:

  • Collaborate with the entire Business Affairs team to assure alignment and consistency is applied for hotel deals as it relates to areas of overlap within the other business units – cafe, retail, casino, IP use.
Qualifications
  • 5 –10 years in corporate transactions with a focus on the hospitality business.
  • Bachelor’s degree, law degree, and admission to the Bar in at least one state
  • Combination experience in development, management, and franchising with a combination of national/international within a law firm and in-house experience.
  • Negotiating experience with proven positive results; as an in-house legal advisor is a plus.
  • Proven record of multi-facet experience and exposure in legal advisement (i.e. trademark, real estate, franchise agreements, health and safety, crisis management, labor relations)
  • Knowledge in hospitality business inclusive of restaurants, retails, hotels, casinos, and real estate.
  • Experience in working in a regulated industry.
Certifications, Licenses and Registrations Law Degree and Admission to Bar in at least one state
