SUMMARY
The SVP and General Counsel oversees all legal matters involving the Company.  The General Counsel is a specialized corporate attorney who serves as in-house gaming counsel, oversees the Company’s Compliance Department, manages complex legal matters, and manages and handles individual legal projects. Responsibilities encompass a wide range of the Company’s legal affairs, including responsibility for Company and subsidiary commercial and development contracts, legal oversight of subsidiary operations, including risk management and employment and regulatory compliance matters, and other responsibilities as assigned. Reports to the CEO.
ESSENTIAL DUTIES AND RESPONSIBILITIES
  • Consult on and help manage corporate legal processes (including M&A, financing, compliance issues, transactions, agreements, litigation, general premises liability, and employment law advice, and some intellectual property).
  • Assist with the development of the company policy and position on legal issues.
  • Research, anticipate, and guard the company against legal risks.
  • Guide business stakeholders and ensure compliance with relevant laws and regulations.
  • Structure, draft, and review advice and other legal documents.
  • Represent the company in legal and regulatory proceedings.
  • Draft and administer commercial contracts.
  • Negotiate deals and attend meetings with business stakeholders.
  • Supervise outside counsel.
  • Handling or assisting with complex legal projects with significant financial and business impact.
  • Create and continuously refine template agreements, such as confidentiality agreements, master services agreements, equipment trial agreements, and consulting and independent contractor agreements.
  • Provide training to company staff and contractors in legal and procedural issues relating to the company’s business.
  • Advising internal and external stakeholders on developing best practices.
  • Minimal travel required.

ADDITIONAL SKILLS

Language Skills

Must be able to effectively communicate in English. Must be able to read and write simple lists, interoffice memorandums, and business correspondence. 

Mathematical Skills

Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals.

Computer Skills

Must have Microsoft Office experience and basic computer skills.

EDUCATION and/or EXPERIENCE

A Juris Doctor degree from an accredited law school is required.

Membership in Good Standing in the State Bar as an attorney qualified to practice law is required.

Ten or more years of relevant corporate law experience, preferably in-house and in the casino gaming industry, and/or in a law firm providing similar experience, with increasing levels of responsibility.

CERTIFICATES, LICENSES, REGISTRATIONS

  • Must possess and be able to maintain the applicable regional Gaming Card(s) and/or License(s), if any.
